These Terms of Service ("Terms") govern your access to and use of Orriva Studio (the "Service"), provided by Orriva Tech Studio ("Company", "we", "us", or "our").

By accessing, purchasing, or using the Service, you agree to be legally bound by these Terms.

1. Nature of the Service

Orriva Studio is a cloud-enabled software platform designed for developers, integrating:

• Multi-model AI systems (including but not limited to Gemini, Groq, and Ollama)
• Project structure analysis and code assistance tools
• Cloud-based license authentication and usage control

The Service may include both local and cloud components and may evolve over time.

2. License Grant

Subject to your compliance with these Terms, the Company grants you a:

• Limited
• Non-exclusive
• Non-transferable
• Non-sublicensable
• Revocable license

to use the Service solely for your internal development purposes. No ownership rights are transferred to you.

3. Accounts and Licensing

Access to the Service may require a valid license key or account authentication. You are solely responsible for maintaining the confidentiality of your credentials.

You may not share, resell, lease, or distribute your license access. The Company reserves the right to suspend or revoke licenses that are abused or shared.

4. Subscription and Billing

The Service is offered on a subscription basis (e.g., Pro, Ultra tiers). Payments are processed through third-party providers (e.g., Stripe, Polar.sh).

You agree to pay all applicable fees as presented at checkout. Detailed refund terms are governed separately under the Refund Policy.

All rights, title, and interest in and to the Service, including but not limited to:

• Software code
• System architecture
• AI integration logic
• UI/UX design
• Branding and documentation

remain the exclusive property of the Company. Unauthorized use constitutes a violation of intellectual property laws.

7. AI and Third-Party Services Disclaimer

The Service integrates third-party AI providers (e.g., Gemini, Groq, Ollama).

• AI-generated outputs may be inaccurate, incomplete, or unreliable.
• The Company makes no warranties regarding AI output.
• You are responsible for reviewing and validating any generated content.

8. Service Availability

The Company does not guarantee that the Service will be:

• Uninterrupted
• Error-free
• Fully secure

We reserve the right to modify, suspend, or discontinue any part of the Service at any time.

9. Limitation of Liability

To the maximum extent permitted by law:

• The Service is provided "AS IS" and "AS AVAILABLE"
• The Company shall not be liable for indirect, incidental, or consequential damages
• Total liability shall not exceed the amount paid by you in the preceding 30 days

We may suspend or terminate your access if:

• You violate these Terms
• You misuse the Service
• Required by law

Upon termination:

• Your license is revoked immediately
• Access to the Service is disabled

11. Refund Policy Reference (New Customer Guarantee)

For clarity:

• First-time customers ("New Customers") may request a refund within 7 days of initial purchase, without providing a reason.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Taiwan (Republic of China), without regard to conflict of law principles.

13. Modifications to Terms

We reserve the right to update these Terms at any time. Continued use of the Service after changes constitutes acceptance of the revised Terms.
